These Terms & Conditions (“Terms”) govern your access to and use of arctimuslabs.com (the “Site”) and any purchase of products from Arctimus Labs LLC (“Arctimus Labs,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Florida, United States. Please read these Terms carefully. By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Shipping Policy, Refund & Return Policy, Privacy Policy, and any research-use acknowledgment presented at registration or checkout. If you do not agree, do not use the Site or purchase our products.
1. Research Use Only
All products offered by Arctimus Labs are supplied strictly as reference materials for laboratory and analytical research use only. Products are NOT for human or veterinary use, consumption, ingestion, injection, or application, and are not drugs, foods, cosmetics, dietary supplements, or medical devices. Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition, and no such claim is made. Any use of our products outside of a controlled laboratory research setting is strictly prohibited and is undertaken entirely at the user’s own risk and responsibility.
2. Buyer Eligibility and Responsibilities
By purchasing from Arctimus Labs, you represent and warrant that:
- You are at least 21 years of age and have the legal capacity to enter into a binding contract;
- You are acquiring products in your capacity as a qualified researcher, or on behalf of a research institution, laboratory, or organization, for legitimate research purposes;
- You are appropriately trained and qualified to handle, store, and dispose of research reference materials safely and lawfully;
- You will not use, resell, distribute, or represent our products for any human, veterinary, clinical, diagnostic, or therapeutic purpose;
- You are solely responsible for ensuring your purchase, possession, and use of any product complies with all applicable federal, state, and local laws, regulations, and institutional policies in your jurisdiction.
You accept full responsibility for the proper and lawful use of all products purchased, and for any consequences arising from their misuse. Arctimus Labs assumes no responsibility for any misuse of its products.
3. Account Registration
Certain areas of the Site, including our catalog and checkout, require a verified account. When you register, you agree to provide accurate and complete information, including the research-use acknowledgments requested during sign-up, and to keep your account credentials secure. You are responsible for all activity under your account. We may suspend or terminate accounts that provide false information, violate these Terms, or that we reasonably believe are being used inconsistently with research use.
4. Product Information and Certificates of Analysis
We make reasonable efforts to describe our products accurately and to provide Certificates of Analysis (COAs) where available. Product specifications, including purity and identity, are described to the best of our knowledge based on testing. Except as expressly stated on a product’s COA, products are provided “as is” without warranty of any kind. Descriptions, images, and specifications are for research reference and may be updated without notice.
5. Pricing, Orders, and Payment
All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to correct pricing errors, to limit order quantities, and to refuse or cancel any order at our sole discretion, including where we cannot verify account or payment information or where an order appears inconsistent with research use. Payment must be completed through the methods offered at checkout. Placing an order constitutes an offer to purchase, which we may accept or decline.
6. Coupons and Discounts
Discount codes are subject to their individual terms, may be limited to one code per order, may exclude certain items, and may be modified or discontinued at any time. Coupons carry no cash value and may not be sold, transferred, or combined except as expressly permitted.
7. Shipping, Returns, and Refunds
Fulfillment of orders is governed by our Shipping Policy, and returns and refunds are governed by our Refund & Return Policy, each of which is incorporated into these Terms by reference. Please review those policies before ordering.
8. Prohibited Uses
You agree not to use the Site or our products to: (a) violate any law or regulation; (b) purchase products for human or veterinary use or for any clinical or consumer purpose; (c) resell or redistribute products in a manner that misrepresents their research-only nature; (d) provide false identity, age, or eligibility information; (e) interfere with the operation or security of the Site; or (f) infringe the rights of Arctimus Labs or any third party.
9. Intellectual Property
All content on the Site, including text, graphics, logos, the Arctimus Labs name and branding, product imagery, and page design, is the property of Arctimus Labs or its licensors and is protected by applicable intellectual-property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written permission.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and all products are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free. No product is warranted as safe or suitable for any human, veterinary, clinical, or consumer use, and any such use is expressly disclaimed.
11. Limitation of Liability
To the fullest extent permitted by law, Arctimus Labs and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Site or products, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to the Site or a product shall not exceed the amount you paid for the product giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Arctimus Labs and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use or misuse of the Site or products, your violation of these Terms, or your violation of any law or the rights of any third party.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms, the Site, or a product shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts.
14. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted to this page with a revised “Last updated” date. Your continued use of the Site or placement of an order after changes are posted constitutes acceptance of the revised Terms. The version in effect at the time of your order governs that order.
15. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Arctimus Labs regarding the Site and your purchases.
